EDMONTON, ALBERTA - GLOBAL Manufacturer of Oil Field Products - File: MENA-1204
 
The Company provides a single source of multi-disciplined design, engineering and manufacturing services of control and power distribution products to the oil production ESP (electric submersible pump) industry.
 
The Company’s proprietary products include two series of motor controls (variable speed and directional), harmonic filters (maintenance item requiring periodic replacement) and back-spin relays and shunts (the only CSA certified product available anywhere). These proprietary products provide the Company significant competitive advantage.
 
Prior to the global recession and the insurgency in Libya, the company generated annual revenues of $12.6 million. 50% of historical revenues originated in Libya. Company revenues for the past two years have dropped to about $4 million per year, 80% of which have been domestic. Business is resuming in Libya but it is expected it may take a year or more before their economy stabilizes, as they continue to build a financial and economic infrastructure.
 
The Company has recently been awarded a contract in the MENA region to provide VFD (Variable Frequency Drive) products over 5 years. The Company’s share of this contract is valued at 22MUSD. The Company will be providing all the surface equipment to safely operate progressive cavity pumps.
 
The Company is ramping up consulting services in the MENA region as there now exists an increased and considerable demand for consulting services, which include power studies. Gathered information is instrumental in producing and validating accurate computer built models. Once the information is placed into the model, the Company can determine how problems propagate throughout the power system and can design methods to reduce the overall severity of faults. The Company designs and builds harmonic solutions custom tailored for each client facility, and provide complete onsite installation, setup, commissioning and operator training for the new equipment.

Watershed Car and Truck Stop is a unique business servicing the needs of travelers through a somewhat isolated area of Northern Ontario. Situated on 10 acres of land on Hwy. 144 at the intersection of Hwy. 160, the business is the “only” refueling, rest and refreshment stop between Sudbury, approximately 200 km southwest, and Timmins, approximately 120 km northeast.

WCTS is a highway car & truck stop providing gasoline and diesel fuels, restaurant, convenience store, gift shops and also services the area with room & board bunkhouses, cabins and a year-round trailer park.

Revenues for  2011 were close to $4,200,000, with seller’s discretionary earnings near $423,000 (normalized), generating a return of just over 21% of the asking price.

The asking price for all the assets of the business, which include the real estate and improvements thereon, chattels & equipment, inventories and the goodwill of the business is
$1,995,000. The fixed assets of the business are at a cost of just under $1,400,000.
